Santander Totta capital increase ‘fully subscribed’

On May 4, Santander Totta's shareholders approved, in a general meeting, a capital increase of €135 million and the distribution of dividends of €273 million for 2021.

Santander Totta announced that the capital increase of €135 million, approved in the bank’s last general meeting, was fully subscribed and completed on Tuesday.

“Banco Santander Totta, S.A. informs that the capital increase resolved on 4 May 2022 has been fully subscribed and carried out, with the respective commercial registration having been completed today (24 May 2022),” the bank said in a statement sent to the Securities Market Commission (CMVM).

The share capital of Banco Santander Totta, S.A. is currently “1,391,779,674.00 euros, corresponding to 1,391,779,674 ordinary, registered and book-entry shares, with a nominal value of €1.00,” Santander added.

On May 4, Santander Totta’s shareholders approved, in a general meeting, a capital increase of €135 million and the distribution of dividends of €273 million for 2021.

According to the information sent to the CMVM on that date, the annual general meeting approved the proposal to increase the share capital from €1,256,723,284.00 to €1,391,779,674.00, issuing up to 135,056,390 new ordinary, registered and book-entry shares.

The issued shares were offered for the exclusive subscription of the shareholders in the exercise of their pre-emptive rights, with Santander Totta opting for the subscription of 135,000,000 new shares and the remaining shareholders opting for the subscription of up to 56,390 new shares, in proportion to their respective shareholdings, it said.

In February, Santander Totta announced the distribution of dividends referring to the years in which it did not pay them, on the recommendation of the European Central Bank (ECB), announcing the amount of €480 million, referring to 2019 profits (€527.3 million).

In 2021, the bank made profits of €298.2 million, up 0.9% on 2020.

Santander Totta is wholly owned by the Spanish banking group Santander.
