Sonae takes control of Nos, after partnership with Isabel do Santos’ companies comes to an end

Sonaecom formally breaks partnership with companies led by Isabel dos Santos after she stepped down as a shareholder of Zopt.

A decade later, the Sonae group now directly controls the capital of operator Nos. Sonaecom formalised on Monday the end of the partnership with Unitel and Kento, led by Isabel dos Santos, which were part of Zopt, an entity created in 2012 to promote the merger between Zon and Optimus.

After this deal, Sonaecom thus now holds a controlling stake of 36.8% in Nos, including a 10.78% position in the holding company, Sonae SGPS.

“Sonaecom, SGPS, S.A. (“Sonaecom”) hereby informs that, having all the relevant procedures for the execution of the resolution taken at the ZOPT, SGPS, S.A. (“ZOPT”) Shareholders’ General Meeting been concluded, ZOPT has transferred on this date the 134.322.268 shares representing 26.07% of the share capital and voting rights of NOS, SGPS, S.A. (“NOS”) – which are not seized -, in exchange for the amortization of Sonaecom’s shareholding in that company and of the reimbursement of the supplementary contributions made by Sonaecom,” said the company in a statement issued by the Portuguese Securities Market Commission (CMVM).

On the same date, Ângelo Paupério and Cláudia Azevedo announced their resignation from Zopt’s board of directors.

The statement was released after the Competition Authority adopted a “non-opposition decision” on the Sonae/Nos merger.
